2. Eligibility

• You must be a registered business entity in India
• You must provide accurate and complete registration information
• You must have the authority to enter into this agreement on behalf of your business

3. User Accounts

3.1 Account Types

• Vendor Accounts: For suppliers and manufacturers
• Retailer Accounts: For shop owners and buyers
• Employee Accounts: For field sales representatives

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access
• You are liable for all activities under your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Services Provided

RetailSaathi B2B provides:

• B2B e-commerce platform for product listing and ordering
• Inventory management tools
• Order processing and fulfillment services
• Payment processing and settlement services
• Employee management and attendance tracking
• Retailer onboarding and management
• Analytics and reporting tools

5. Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload false, misleading, or fraudulent information
• Engage in price manipulation or unfair trade practices
• Sell counterfeit, illegal, or prohibited products
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to our systems
• Use automated tools to scrape or extract data
• Harass, abuse, or harm other users

6. Payments and Fees

6.1 Commission Structure

Vendors agree to pay a commission on each successful transaction as per the agreed rate. Commission rates are communicated during vendor onboarding and may be updated with prior notice.

6.2 Payment Terms

• Payments are processed through approved payment gateways
• Settlements are made as per the agreed schedule
• All prices are in Indian Rupees (INR)
• Applicable taxes (GST) will be added to transactions

7. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of RetailSaathi B2B and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you upload but grant us a license to use, display, and distribute it as necessary to provide the Services.

8. Termination

We may suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent activities
• Your account remains inactive for an extended period
• Required by law or regulatory authorities

You may terminate your account at any time by contacting support. Upon termination, your access to the Services will cease, but certain obligations may survive termination.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Services will be uninterrupted or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components
• Results obtained from the Services will be accurate or reliable

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RETAILSAATHI B2B SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
